Company Secretarial & Statutory Compliance Services

At Wilkes, we understand the intricate demands of running a successful business. We also recognise that statutory compliance can often create a burden for business owners who would rather focus on their business than be distracted by administrative tasks.

Following the recent changes in legislation under The Economic Crime and Corporate Transparency Act 2023, consequences for the failure of meeting the legislative requirements include hefty financial penalties, potential criminal charges and/or having the company struck off. In addition, both companies and those individuals who file on behalf of companies, are now exposed to personal liability

Your statutory obligations

Companies and limited liability partnerships are required by statute to maintain accurate and current registers, records, and submit timely returns to Companies House, aligning with specific dates and events. These responsibilities hold significant weight. Certain filings at Companies House must be completed within a specified timeframe too. Failure to do so can leave you exposed to financial and/or personal risk. Following the above legislation, there is much more scrutiny applied to how companies are managing their business affairs. This reinforces the importance of having a legal professional manage your administrative affairs, as we have a full legal understanding of what is required to ensure you and your company remain statutory compliant at all times.

How Wilkes can help

Our Company Secretarial Services can alleviate these pressures and allow you to focus on what truly matters, the growth and success of your business. Our team has over 100 years of combined experience of providing secretarial services for our clients which include some of the leading owner-managed businesses in the UK.

Given the recent legislation and our wealth of experience, now is the time to start using our services.

It is also important to bear in mind, that any potential purchaser of your business would consider complete compliance and a perfect share capital as critical to the saleability of your business. We regularly provide our clients with a review of their constitutional documents and where we identify any potential discrepancies, we also deliver solutions on how to rectify these discrepancies which adds further value to our service.

Rick Smyth, Corporate Partner says,

"Experience has shown us that the majority of businesses, especially those with a turnover exceeding £1 million, often have imperfections in their constitutional documents and statutory registers. These issues typically arise from either ignorance or outsourcing to non-legal professionals. At our firm, we confidently provide solutions to identify and rectify these imperfections, ensuring our clients remain stress-free and in good hands."

Our dedicated team specialises in managing your regulatory and compliance requirements and will partner with you to de-risk your business from any potential inconsistencies in your records or overall non-compliance.
